These Terms of Service (“Terms”) govern your access to and use of the Adepa Smart Store website, marketplace, customer account features, and related services (collectively, the “Services”).
Adepa Smart Store is a Ghana-based online marketplace. Products may be sold by Adepa and by independent third-party sellers (“Sellers”) listed on the platform. Seller-specific terms shown on product or checkout pages may also apply.
By browsing the site, creating an account, or placing an order, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
Marketplace & Sellers
Adepa provides a platform that connects customers with Sellers. Unless we clearly state otherwise, Adepa is not the manufacturer of every item listed and does not take title to Seller inventory.
Each Seller is responsible for accurate product listings, lawful products, order fulfillment within marketplace rules, and compliance with applicable Ghanaian consumer and business laws.
We may remove listings, suspend Sellers, or cancel orders that violate these Terms, our policies, or applicable law.
Products & Orders
Product descriptions, images, prices, availability, and delivery options may change without notice. We and our Sellers may limit quantities, cancel orders, or refuse service in cases of error, suspected fraud, or policy violation.
You are responsible for providing accurate account, contact, delivery, and payment information. Order confirmation does not guarantee acceptance until payment is authorized and the order is confirmed in your account or by email.
Delivery times are estimates. Risk of loss for delivered goods generally passes to you upon successful delivery to your address or handover for pickup, unless applicable law requires otherwise.
Payments
Prices are shown in Ghana Cedis (GH₵) unless we state otherwise. Available payment methods may include mobile money, debit or credit cards, and cash on delivery where offered at checkout.
Payments are processed through trusted payment partners. You authorize us and our partners to charge your selected payment method for the total shown at checkout, including applicable delivery fees, taxes, and discounts.
If a payment fails or is reversed, we may cancel or hold the related order until the issue is resolved.
Returns & Refunds
Returns and refunds are handled according to our Returns Policy and any product-specific or Seller-specific terms displayed at checkout.
Eligible returns generally require items to be unused, in resalable condition, and in original packaging unless the return is due to damage, defect, or an incorrect item. Certain categories may be non-returnable except where required by law.
Approved refunds are processed to the original payment method where possible. Delivery fees may be non-refundable except where required by law or where the return is due to our or the Seller’s error.
Acceptable Use
You agree not to misuse the Services, interfere with security, attempt unauthorized access, scrape or harvest data in violation of these Terms, post unlawful content, submit false reviews, or use Adepa for fraudulent or harmful activity.
You may not circumvent marketplace rules, manipulate pricing or promotions, impersonate others, or use automated tools in a way that burdens or damages the platform.
Intellectual Property
The Adepa name, logo, website design, and platform content are owned by or licensed to Adepa and may not be copied or used without permission.
Seller trademarks and product content remain the property of their respective owners.
Limitation of Liability
To the fullest extent permitted by applicable law in Ghana, Adepa Smart Store and its officers, employees, and partners shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Services.
Our total liability for any claim arising from these Terms or a specific order shall not exceed the amount you paid Adepa for the order giving rise to the claim, except where mandatory consumer protection law requires otherwise.
Governing Law
These Terms are governed by the laws of the Republic of Ghana, without regard to conflict-of-law principles, except where mandatory consumer protection rules in your location require otherwise.
Disputes shall be subject to the exclusive jurisdiction of the courts of Ghana, unless applicable law grants you non-waivable rights to bring claims elsewhere.
